Terms and conditions of use of Legalkite
Effective August 2nd 2023
These terms and conditions ("Terms" or "T&Cs") constitute a contract between you and Legalkite SA. They govern your use of Legalkite websites, services, mobile applications, products and content ("Services").
By using Legalkite, you agree to these terms. If you do not agree to any of these terms, you may not use Legalkite.
We may change these terms at any time. If a change is material, we will notify you before it takes effect. By using Legalkite on or after the effective date, you agree to the new terms. If you do not agree to them, you must delete your account before they come into effect, otherwise your use of the site and its content will be subject to the new terms.
Content rights and responsibilities
You own the rights to the content you create and post on Legalkite.
Subject to specific agreements, by posting Public Content on Legalkite, you grant Legalkite a royalty-free, non-exclusive license to publish it on the Paid or Free Services, including anything reasonably related to its publication (such as storage, display, reformatting and distribution). In consideration for Legalkite's access to and use of the Services, you agree that Legalkite may apply machine learning or artificial intelligence to your Public Content to generate new content or to link, combine or compile existing content and publish it on Legalkite. We may also use your public content to promote Legalkite, including its products and content.
Despite the review and validation of your public content by Legalkite or its community, you alone bear all legal consequences related to the content you submit to Legalkite for publication or private archiving. This means that you are personally liable for any third-party claims of alleged or proven infringement of intellectual property rights, as well as any civil claims arising from such claims. This also applies to any criminal or administrative claim related to your public content.
Furthermore, it is strictly forbidden to store or publish sensitive third-party data (in particular data covered by attorney-client privilege) either as public or private content on Legalkite.
You may publish on Legalkite content that you have published elsewhere, provided that you have the necessary rights to do so. By publishing content on Legalkite, you represent that this does not conflict with any other agreement you have entered into.
By posting content on Legalkite that you did not create, you are representing that you have the right to do so. For example, you are posting a work that is in the public domain, is being used under a license (including a free license, such as Creative Commons), or constitutes fair use.
We may remove any content you post for any reason at any time without notice.
Our content and services
We reserve all rights in the look and feel of Legalkite. As with other parts of Legalkite, you may not copy or adapt any of our code or visual design elements (including logos) without Legalkite's express written permission.
You may not do, or attempt to do, any of the following: (1) access or tamper with non-public areas of the Services, our computer systems or the systems of our technical providers; (2) access or search the Services by any means other than through the currently available published interfaces (e.g., APIs) we provide; (3) forge any TCP/IP packet header or any part of the header information in any e-mail or posting, or otherwise use the Services to send altered, misleading, or false source identification information ; or (4) interfere with or disrupt access by any user, host or network, including by means of submitting a virus, overloading, flooding, spamming, mailbombing or scripting content or accounts in a manner that interferes with or creates an unreasonable load on the Services.
Data crawling and scraping of the Services is prohibited.
We may change, terminate or restrict access to any aspect of the Service at any time without notice.
Data privacy
Legalkite will not sell or transfer your information to third parties.
Data storage
Your data is stored exclusively with Swiss and European hosting providers. By using the Services, you authorize Legalkite to transfer, store and use your information in Switzerland and in any other country where we operate.
Security breach
If you find a security hole on Legalkite, let us know. We have a reward program for finding them.
Author status
Beneficiaries of author status are remunerated for their public content. The conditions of eligibility and remuneration are to be agreed between the parties.
Various
Disclaimer of Warranty. Legalkite provides the Services to you as is. You use them at your own risk and discretion. This means that they come with no warranty. No warranties expressed, no warranties implied. No implied warranties of merchantability, fitness for a particular purpose, availability, safety, title or non-infringement.
Limitation of Liability. Legalkite will not be liable to you for any damages resulting from your use of the Services. This includes the event that the Services are hacked or unavailable. This includes all types of damages (indirect, incidental, consequential, special or exemplary). And it includes all types of legal claims, such as breach of contract, breach of warranty, tort or any other loss.
No Waiver. If Legalkite does not exercise a particular right under these Terms, it does not waive that right.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, you agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
Choice of law and jurisdiction. These Terms are governed by Swiss law and its conflict of law provisions. You agree that any legal action arising from the Services must be brought before a court located in Fribourg, district of Sarine, Switzerland.
Entire Agreement. These Terms (including any documents incorporated by reference) constitute the entire agreement between Legalkite and you with respect to the Services.
Conflict between language versions of the T&Cs. The French version of the GTC is the reference version. In the event of a conflict of interpretation with the German, Italian or English version, the French version shall prevail.
